Ownership Rights over Educational Resources

Regardless of the economic model chosen (Acquisition, PPP, BOO or Hybrid), the rules below apply to all educational resources and documentation.

Framework common to all RETICEO models

  • Educational resources and documentation falling under official national curricula remain the property of the relevant countries and institutions. RETICEO integrates them on ZEP-X terminals and the Smart Local Cloud under licences granted by the competent authorities.
  • Open educational resources and documentation remain the property of their authors. RETICEO distributes them in accordance with their usage licences.
  • Educational supports (digital workbooks) remain the property of RETICEO. They are made available to users as services — free or paid depending on the case — within each contractual model.
Acquisition Model

What is the Acquisition Model?

The Acquisition model is the direct purchase model in which the client — ministry or private institution — immediately becomes the owner of all RETICE-RENAL equipment installed on its premises.

In return, the client fully assumes the financial and operational responsibilities associated with these assets throughout their lifecycle: acquisition cost, maintenance, renewal. This model suits clients who already have mobilised financing or who wish to build their own long-term operational capacity.

  • Owner from day 1: The client owns the installed equipment from reception. The assets appear on its balance sheet.
  • Full invoicing: The invoice for equipment and installation services is entirely the client's responsibility.
  • Operating costs borne by the client: Support, preventive and corrective maintenance, and equipment renewal at end-of-life remain the client's responsibility.
  • Optional service contracts: RETICEO offers optional support, maintenance and training (SMT) contracts to accompany the client over time.
Responsibilities

What the client takes on

In the Acquisition model, the client assumes all costs and responsibilities related to the equipment throughout its lifecycle.

Equipment ownership

The client owns the RETICE-RENAL infrastructure (Smart Local Cloud, network, ZEP-X terminals, CeRSER kits) from installation and acceptance. These assets appear in its asset register.

Invoice settlement

The client pays the full invoice for equipment (hardware, software, licences) and associated services (installation, integration, deployment, initial training).

Support, maintenance and renewal

Technical support costs, preventive and corrective maintenance, and equipment renewal at end-of-cycle are the client's responsibility. RETICEO offers optional SMT contracts.

The Acquisition model adapts to two client profiles with distinct financing sources.

Ministries & States

  • National budget — direct financing from an Education/Digital budget line
  • Development partner loans — World Bank, AfDB, EU, bilateral cooperation
  • Special funds — school equipment funds, sectoral allocations
  • PTF + national budget co-financing — hybrid arrangement to spread the burden

Private Institutions

  • Own funds — self-financing from reserves or cash flow
  • Local bank debt — investment credit from a commercial bank or microfinance institution
  • Shareholder / investor contributions — funds mobilised at school group level
  • Fundraising — sector-specific education investment funds
RETICEO support

EPC + Financing Contract — RETICEO mobilises on your behalf

RETICEO can assist clients in mobilising financing via its partner network, by offering a turnkey EPC + Financing contract.

RETICEO can help mobilise the financing

For clients who have not yet mobilised financing, RETICEO offers an EPC (Engineering, Procurement & Construction) + Financing contract. Under this arrangement, RETICEO handles design, procurement and construction of the infrastructure while facilitating access to financing through its network of financial partners and lenders. The client retains ownership of the equipment at the end of the contract.

This structure enables accelerated deployment without waiting for the full budget to be available, while keeping asset ownership with the client.
