Common to all models

Ownership Rights over Educational Resources

Regardless of the model chosen — Acquisition, PPP, BOO or Hybrid — the following rules apply to all educational resources and documentation.

Framework common to all RETICEO models

  • Educational resources and documentation falling under official national curricula remain the property of the relevant countries and institutions. RETICEO integrates them on ZEP-X terminals and the Smart Local Cloud under licences granted by the competent authorities.
  • Open educational resources and documentation remain the property of their authors. RETICEO distributes them in accordance with their usage licences.
  • Educational supports (digital workbooks) remain the property of RETICEO. They are made available to users as services — free or paid depending on the case — within each contractual model.
Two models, one common logic

PPP for Ministries — BOO for Private Institutions

Two variants of the same principle: RETICEO invests, builds and operates. The client benefits from the service without capital immobilisation.

Ministries & States

PPP Model — Public-Private Partnership

Concession convention between the Ministry and RETICEO. The State sets the direction, RETICEO finances, deploys and operates the national educational infrastructure.

  • Concession convention between Ministry/Ministries and RETICEO
  • Duration: 15 to 20 years minimum
  • RETICEO assumes all industrial and financial risk
  • The Ministry steers by performance and SLAs
  • Facilitated access to PTF financing via the RETICEO network
  • Reduced financial burden on the State and on families
  • Payment schedule negotiated according to budgetary capacity
Private Institutions

BOO Model — Build · Own · Operate

Concession contract between the private school and RETICEO. The institution benefits from the service; RETICEO retains ownership of the assets.

  • Concession contract between the institution and RETICEO
  • Duration: 15 to 20 years minimum
  • RETICEO is the owner and operator of the equipment
  • The institution steers by performance and student outcomes
  • RETICEO financing via its financial partners and solidarity lenders
  • Annual fee in lieu of a capital investment
  • Zero CAPEX — immediate access to the full infrastructure

A concession contract / convention

RETICEO's PPP & BOO offering is formalised through a concession contract or convention between the Ministries or private schools and RETICEO. This document sets out service commitments (SLAs), fee conditions, Revenue Sharing modalities, and terms for any asset transfer at the end of the contract.

Its minimum duration of 15 to 20 years enables RETICEO to mobilise long-term financing from its financial partners and solidarity lenders, passing on the benefits through reduced pricing for the State and families.

Tariff flexibility

Two fee modes — tailored to each profile

The PPP or BOO rental model offers two fee modes depending on whether the primary payer is the institution (State or school) or the students themselves.

Mode 1 — Ministry and/or Students (PPP)

The annual fee is paid by the Ministry, in whole or in part, with possible cost-sharing with families in the form of a student contribution. This mode allows the State to control the cost borne by households and to reduce the financial burden on the most disadvantaged families through national solidarity mechanisms.

Mode 2 — Private Institution and/or Students (BOO)

The annual fee is paid by the private school, which may pass all or part of it on to student tuition fees. This mode gives the institution full control of its business model while avoiding the need to mobilise upfront capital, freeing up resources for other educational investments.

Value sharing

A Revenue Sharing Model

RETICEO has established a value-sharing mechanism (Revenue Sharing) specific to the PPP model with Ministries & the BOO model with Private Institutions.

Revenue Sharing — Model Principles

RETICEO commits, within its PPP and BOO contracts, to returning a share of the revenues generated from service operations to its institutional partners (Ministries, private institutions). This equitable value-sharing mechanism creates a strong common interest between RETICEO and its partners: the more the programme grows and attracts new users, the greater the shared benefits.

The precise Revenue Sharing conditions — trigger thresholds, sharing rates, allocation keys — are defined contractually based on the context of each deployment and the respective commitments of the parties.

Resource mobilisation

RETICEO mobilises the financing on your behalf

One of the major advantages of the PPP & BOO model is RETICEO's ability to mobilise financial resources from its network of financial partners and solidarity lenders.

For Ministries — PPP

  • Mobilisation of concessional PTF loans (World Bank, AfDB, EU, bilateral)
  • Reduced financial burden on the State — spread over 15–20 years
  • Direct reduction of the financial burden on families
  • No draw on the national budget during the investment phase
  • Performance-based payments — disbursements linked to SLAs achieved

For Private Institutions — BOO

  • RETICEO fully finances the infrastructure — 0 CAPEX for the institution
  • Mobilisation via RETICEO's network of solidarity lenders
  • Annual fee smoothed over the contract duration — budgetary predictability
  • Progressive repayment embedded in the fee structure
  • Investment and obsolescence risk 100% borne by RETICEO

Network of financial partners and solidarity lenders

RETICEO relies on a structured network of financial partners and solidarity lenders to mobilise the resources needed for each deployment. This network includes international financial institutions, social impact investment funds, regional development banks and blended financing mechanisms (grant + loan + guarantee). The result: agile financial mobilisation, adapted to each national context and each client profile.

Why choose PPP or BOO?

Eight key advantages of the PPP & BOO model

By choosing the PPP or BOO model, the client gains access to the most advanced educational infrastructure with no initial financial risk, with performance guarantees and long-term interest alignment.

0 CAPEX

No upfront investment required. Access to the complete infrastructure begins from contract signature.

Financing mobilised

RETICEO mobilises PTF resources and solidarity lenders to finance the infrastructure — without pressure on the national budget or equity.

Risks borne by RETICEO

RETICEO assumes industrial, technological and obsolescence risks. The client is protected from technical uncertainties.

Revenue Sharing

An equitable mechanism for sharing the economic value generated by the operation of the digital education service.

Automatic renewal

End-of-lifecycle equipment is replaced by RETICEO at no extra cost. The client always benefits from the latest technologies.

Training included

Initial and ongoing training for teachers, administrators and local technicians is included in the annual fee.

Scalability

The PPP or BOO contract is modular: the number of institutions, terminals and services can evolve throughout the contract.

Interest alignment

Through Revenue Sharing, RETICEO and the client share the same objective: maximise the number of equipped students and the quality of service.
